- Sainmhíniú "Article 4(1) of the Rome Convention provides that if the applicable law has not been chosen, the contract is to be governed by the law of the country with which it is most closely connected. In order to identify this country, Art. 4(2) refers to the performance which constitutes the essence of the contract (the ""characteristic performance"") and is generally understood to mean the performance for which the payment is due: for example the delivery of goods or the provision of a service. It operates by reference to the country where the party who is to effect the characteristic performance has his habitual residence, or, in the case of a company, its central administration."
