    Comment Il est question ici d'un concept de droit anglais qui correspond, dans une certaine mesure uniquement, à la clause pénale en droit français. Le montant de la clause pénale peut être adaptée par un juge qui le considère excessif ou dérisoire, tandis que le juge anglais considérera le «liquidated damage» comme nul et non avenu s'il estime que son montant est manifestement excessif. Il existe de nombreuses manières de traduire ce terme, l'important étant de rendre l'idée d'un accord préalable.
